Welcome to Agentrix (accessible via https://agentrix.it.com and https://agentrix.ai, hereinafter referred to as the "Service", "Platform", or "Agentrix"). By registering an account, subscribing to our services, or interacting with the Platform, you agree to comply with and be bound by the following Terms of Service ("Terms"). Please review these Terms carefully. If you do not agree, you should not access or use this Service.

1. Description of Service

Agentrix is an AI Employee Operating System providing Software-as-a-Service (SaaS) subscription tiers. The Platform enables corporate and individual tenants to provision, train, and deploy digital AI employees connected to messaging gateways, CRM utilities, and third-party APIs.

2. Customer Accounts & Security

To access the Console, you must create a verified Organization account.
You are solely responsible for maintaining the confidentiality of your account credentials, including developer API Keys (X-API-KEY).
You are fully liable for all activities, data transfers, and API costs accrued under your account credentials.

3. Subscription Tiers, Billing, and Merchant of Record

Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Pricing & Tiers: Access limits (such as active agent limits, document volumes, and monthly message metrics) are determined by your chosen plan (Starter, Professional, or Business).
Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled in your Billing Portal prior to the renewal date.

4. Proper Use and Restrictions

You must not use the Platform to process, transmit, or store prohibited contents, including illegal, abusive, malicious, or deceptive scripts/messages.
You agree not to exceed or attempt to bypass set token limits, API rate caps, or usage boundaries.
You must not attempt to reverse engineer, scrape, or exploit the infrastructure of the Service.

5. Termination & Suspension

We reserve the right to suspend or terminate tenant access immediately, without prior notice or liability, if: (a) You violate any part of these Terms; (b) Your account subscription payment is past due or rejected by Paddle; or (c) Your tenant account generates suspicious API traffic or security breaches.

6. Limitation of Liability

Agentrix provides the Service on an "AS IS" and "AS AVAILABLE" basis. We make no guarantees that AI model outputs (via Google Gemini, OpenAI, Claude, etc.) will be error-free, factual, or accurate. In no event shall Agentrix be liable for any indirect, incidental, special, consequential, or punitive damages arising from AI decisions, data loss, service interruptions, or customer chat interactions.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your local jurisdiction, without regard to conflict of law principles.
